Terms of Service

By creating an account, accessing, or using the Services, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and any additional policies referenced herein. If you do not agree, do not use the Services. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization.

You must be at least 18 years old (or the age of majority in your jurisdiction), capable of forming a legally binding contract, and not barred from receiving the Services under applicable laws (including U.S. sanctions). Cenoa is not available in certain restricted jurisdictions; the current list is published in our Help Center.

You must provide accurate, current, and complete information during registration and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access. We may suspend or terminate accounts that contain false or unverifiable information.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not (a) reverse engineer or attempt to extract source code; (b) interfere with or disrupt the Services; (c) bypass rate limits or access controls; (d) use the Services to build a competing product; or (e) use the Services in violation of any law.

Our current fees are listed on the Pricing page and may change with notice. By initiating a transaction, you authorize us and our payment partner to debit applicable fees from the relevant transaction amount or your wallet balance. Fees are exclusive of taxes; you are responsible for any taxes that apply to your use of the Services.

Payment processing is provided by our regulated payment partner and is subject to that partner's connected-account and services agreements (collectively, the "Partner Terms"). By using the Services to process payments you also agree to the Partner Terms, which the partner may update from time to time. You authorize Cenoa to obtain account information from this partner as required to operate your account.

You agree not to use the Services for any unlawful, fraudulent, or harmful purpose, including (without limitation) money laundering, terrorist financing, sanctions evasion, infringing intellectual property, or selling prohibited goods or services as described in our Acceptable Use Policy.

You may close your account at any time through Settings. We may suspend or terminate your access immediately, with or without notice, if we believe you have violated these Terms or if continued provision of the Services would expose us or our partners to legal, regulatory, or financial risk. Sections that by their nature should survive termination will survive.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CENOA, ITS AFFILIATES, OR THEIR PERSONNEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO CENOA IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS.

You will defend, indemnify, and hold harmless Cenoa and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, your violation of any third-party right, or your violation of any law.

These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.

We may modify these Terms at any time. If a change is material we will provide notice (for example, by email or an in-product banner) before the change takes effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
